Terms governing your use of GivelyDF, including GLT recognition, verification, certificates and eligible privileges.

This draft is a proposed contractual framework for GivelyDF, not legal advice. It should be reviewed by Canadian counsel before clickwrap activation. It is not a substitute for the GivelyCF Terms of Use for fundraising and checkout.

1. Agreement and relationship to GivelyCF

These Terms of Service (“Terms”) form a binding agreement between you and Gively Crowdfunding & Digital Finance Inc. (“Gively”) for use of GivelyDF. Fundraising, donations and checkout occur primarily on GivelyCF and are governed by the GivelyCF Terms of Use. If these Terms conflict with GivelyCF terms on GLT administration, these GivelyDF Terms govern GLT administration.

2. GLT eligibility and issuance

Gively Love Token (“GLT”) may be issued only after an eligible donation is successfully processed and verified under the then-current GLT rules, and where the donor has opted in for rewards. Eligibility depends on the donation source, verification outcome, account status and product rules in force at the time of verification.

Issuance rate: 25 GLT for every C$1 donated. Foreign-currency donations are converted to CAD using the exchange rate on the transaction date before GLT is calculated. This is an earning/issuance rate, not a currency conversion of GLT balances. Each GLT award is linked to its underlying donation for audit; refunds and chargebacks reverse associated GLT.

Submitting proof of giving does not guarantee GLT. Gively may request clarification or additional documents and may reject, delay, correct or revoke recognition where evidence is incomplete, duplicated, altered, fraudulent, unverifiable, inconsistent with GLT rules, or linked to an ineligible donation.

3. No cash or investment value

GLT is a non-cash recognition and engagement token earned through eligible verified giving. It establishes eligibility for certain privileges at selected partner merchants’ points of sale.

GivelyDF never displays a CAD or USD balance for GLT. GLT is not money, cryptocurrency, stored value, a security, a deposit, legal tender, property redeemable for a guaranteed value, or an instrument of return. It does not confer ownership, voting rights in Gively, profit rights, or repayment rights.

4. Non-transferability

GLT is personal, non-transferable, non-tradeable and non-convertible to cash. It may not be sold, exchanged, pledged, assigned, pooled or used to create a market. Any purported transfer is void unless Gively expressly enables a limited feature in writing and under then-current rules.

5. Refund and chargeback reversals

Gively may correct, withhold, reverse or cancel GLT arising from error, fraud, abuse, an ineligible donation, refund, reversal, chargeback, account duplication or Terms violation. Reversed GLT will be reflected in your recognition record.

6. Receipt-upload verification

For donations processed through GivelyCF, eligibility will ordinarily be verified from Gively’s transaction records. If Gively permits recognition of an eligible donation made through another approved channel, it may require proof of giving such as a non-tax receipt, donation confirmation or verified data from an authorized integration.

You represent that uploaded evidence is authentic, relates to you or is submitted with proper authority, and may lawfully be provided to Gively. Do not submit full payment-card details, passwords or unnecessary sensitive information.

7. KYC and fraud controls

Gively may require identity verification (KYC), use automated and manual fraud controls, request information, review public sources, and cooperate with service providers and authorities. You must cooperate with reasonable inquiries and provide authentic, complete and timely information.

Pending review, Gively may pause account changes, GLT issuance, privilege access or certificate features where reasonably necessary.

8. Account suspension

Gively may restrict, suspend or terminate access where reasonably necessary for security, investigation, legal compliance, risk management, payment-provider requirements or a violation of these Terms. Where appropriate and lawful, Gively will provide notice and an opportunity to respond.

9. Certificate accuracy

Lifetime Impact Certificates and related QR verification pages reflect recognition data available at issuance or last update. Certificates may be corrected if GLT or giving records are adjusted. A certificate is recognition documentation, not a tax receipt, investment statement or guarantee of future privileges.

10. Blockchain records and permanence

Where recognition or certificate metadata is written to a blockchain or similar ledger, entries may be permanent or difficult to alter. Public verification may disclose limited recognition information. Blockchain permanence does not create cash value or transferability.

11. Planned versus available benefits

Available privileges are those expressly labeled available in the product. Planned, future or under-evaluation benefits are not guarantees. Recognition levels establish eligibility pathways and may expand over time; they do not guarantee a reward or monetary value.

12. Merchant responsibility

Prospective ecosystem providers under evaluation. No partnership or integration should be inferred unless formally announced. Third-party merchants and providers remain responsible for their own products, points of sale, fulfilment and terms. Gively is not responsible for merchant availability or performance beyond responsibilities that cannot lawfully be excluded.

13. Data sharing with GivelyCF; privacy

Use of GivelyDF is also subject to the GivelyDF Privacy Policy, which explains collection, use, retention of identity and donation evidence, and data sharing with GivelyCF. By using GivelyDF you acknowledge those practices; consent will be requested separately where required.

14. Governing law and dispute resolution

Before starting formal proceedings, you and Gively will make reasonable good-faith efforts for 30 days to resolve a dispute after written notice describing the issue and requested remedy. This does not prevent urgent injunctive relief, a regulatory complaint or a claim approaching a limitation deadline.

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to non-waivable consumer rights, the courts located in New Brunswick have exclusive jurisdiction.

Nothing in these Terms limits a consumer’s non-waivable right to bring a claim or complaint in another forum permitted by applicable law. These Terms do not impose mandatory arbitration or waive class proceedings.
